This Site and its related curriculum services are operated by uThrive Academy LLC, a Texas limited liability company with its principal place of business at 1023 Oakshire Ln, Conroe, TX 77384. These Terms govern all interactions between you (whether acting individually as a student/educator or institutionally on behalf of a school district or organization) and the Company.

2. Intellectual Property & Curriculum Ownership

You agree that the Site itself, alongside all digital curriculum, videos, training modules, student workbooks, software integrations, HTML/CSS, graphics, voice and sound recordings, artwork, photos, documents, and text made available on the Site or via our learning platforms (collectively referred to as the “Content”), are the exclusive property of uThrive Academy LLC and/or its licensors.

  • Limited License: Subject to your compliance with these Terms, uThrive Academy LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and view the Content solely for personal educational use or authorized instructional delivery within a contracted school district.

  • Prohibited Use: No Content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or printed for commercial or unauthorized public use without express written permission from uThrive Academy LLC. Unauthorized duplication or redistribution of proprietary workbooks or digital modules violates federal copyright laws.

3. Institutional Access, LTI 1.3, & SSO Integrations

For school districts and educators accessing our curriculum via Learning Management Systems (such as Canvas or Schoology via LTI 1.3 standards) or Single Sign-On (SSO via Google Classroom, ClassLink, or Clever):

  • Access credentials and rostering data must be managed securely by the district.

  • Use of the platform is bound by the specific Software License Agreements (SLAs) executed between uThrive Academy LLC and the respective school district or local education agency.

4. User Submissions & Feedback

If you send comments, suggestions, ideas, or materials (such as curriculum feedback or feature requests) to the Company, such submissions shall become the sole property of uThrive Academy LLC without any obligation of confidence or compensation to you.

5. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by Texas law, uThrive Academy LLC disclaims all warranties, merchantability, or fitness for a particular purpose. The Company does not warrant that the Site will be uninterrupted, secure, or free of errors, viruses, or harmful components.

6. Limitation of Liability

7. Third-Party Services & Infrastructure

The Company shall not be responsible for performance or service disruptions caused by third-party web service providers, hosting infrastructure partners, payment processors, or district-level network failures. Any technical disputes regarding third-party platforms must be addressed directly with those providers.

8. Indemnification

You agree to indemnify, defend, and hold harmless uThrive Academy LLC, its members, managers, officers, employees, and agents from any and all liabilities, claims, damages, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, violation of applicable laws, or misuse of the Site and its Content.

9. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. You agree to submit to the exclusive personal and subject-matter jurisdiction of the state and federal courts sitting in Montgomery County, Texas.

10. Modifications to Terms

uThrive Academy LLC reserves the right to revise these Terms of Use at any time by updating this posting. Continued use of the Site following any changes constitutes your binding acceptance of those modifications.
